Please read these Terms and Conditions carefully before using MyShoppr. By downloading, installing, or using the application, you agree to be bound by these Terms. If you do not agree, do not use MyShoppr.

1. Parties & Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Galeano Software ("Company," "we," "us," or "our"), the developer and operator of the MyShoppr application and any associated cloud services, websites, and APIs (collectively, the "Service").

By downloading, installing, accessing, or using the Service in any manner, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

You must meet all of the following eligibility requirements to use MyShoppr:

  • You must be at least 13 years of age (or 16 years of age in the European Economic Area).
  • If you are between 13 and 18 years of age (or the applicable age of majority in your jurisdiction), you must have your parent's or guardian's consent to use the Service and agree to these Terms.
  • You must have the legal capacity to enter into binding contracts in your jurisdiction.
  • Your access to the Service must not have been previously terminated by us for violation of these Terms.
  • Use of the Service must not be prohibited by applicable law in your jurisdiction.

By using the Service, you represent and warrant that you meet all eligibility requirements listed above.

3. License Grant

3.1 License to You

Subject to your compliance with these Terms, Galeano Software grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the MyShoppr application on any compatible device that you own or control, solely for your personal, non-commercial purposes.

3.2 Restrictions

You may not:

  • Copy, modify, translate, adapt, or create derivative works of the application or any part thereof.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application.
  • Remove, obscure, or alter any proprietary notices, labels, or marks on the application.
  • Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the application or your rights under these Terms to any third party.
  • Use the application for any commercial purpose or for any public display (commercial or non-commercial) without our express written consent.
  • Use automated scripts or bots to access or interact with the Service.

3.3 Distribution Platform Terms

Your use of MyShoppr is also subject to the terms of the application distribution platform from which you obtained the app. In the event of any conflict between these Terms and the distribution platform's end user license agreement, the platform's agreement controls solely with respect to that platform's responsibilities. Galeano Software is solely responsible for the Service and its content.

4. Account Registration

4.1 Account Creation

MyShoppr requires an account to function because the Service operates through our backend. You must provide accurate, current, and complete information during registration and keep your account information up to date. You agree to provide a valid email address that you own or control.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Choose a strong, unique password and not reuse passwords from other services.
  • Enable any multi-factor authentication features we offer.
  • Notify us immediately at legal@galeanosoftware.com of any unauthorized use of your account or any other security breach.
  • Not share your account credentials with any third party.

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to maintain account security.

4.3 One Account Per Person

Each person may maintain only one active account. Creating multiple accounts to circumvent restrictions or access benefits reserved for other users is prohibited.

5. The Service

5.1 Description

MyShoppr is a grocery management application that enables users to scan receipts, track products and prices, manage shopping lists, store recipes, and analyze spending patterns. The Service processes receipts and product information to populate your account.

5.2 Service Availability

MyShoppr is a connected service and requires a working network connection to our backend to function. We strive to keep MyShoppr available and functional at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where practicable).
  • Emergency maintenance required to protect the security or integrity of the Service.
  • Loss of network connectivity between your device and our backend.
  • Circumstances beyond our reasonable control (see Section 18.7).

5.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will endeavor to provide at least 30 days' notice for material changes to the Service or its discontinuation. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5.4 Third-Party Product Data

MyShoppr may retrieve product information (such as nutritional data and product descriptions) from third-party databases, including Open Food Facts. Such data is provided for convenience only. We do not warrant the accuracy, completeness, or fitness for any purpose of third-party product data. Do not rely on MyShoppr data for medical, dietary, or allergen-related decisions.

6. Backend Services

6.1 Connected Service

MyShoppr operates as a connected service. Your user content is transmitted to and stored on our secure servers as a normal part of using the app. By using the Service, you:

  • Authorize us to store, process, and transmit your user content as described in our Privacy Policy.
  • Acknowledge that your data is subject to our server-side retention and security policies.
  • Agree that we may process your data in data centers located in Canada or other countries where our infrastructure providers operate.

6.2 Data Accuracy & Conflicts

In the event of conflicting edits (e.g., simultaneous edits from multiple devices), our system will apply a last-write-wins or conflict resolution strategy. We are not liable for data loss resulting from such conflicts. You may export your user content at any time as described in Section 7.4.

6.3 API Access

Access to our backend API is permitted only through the MyShoppr application. Automated access, scraping, reverse engineering of the API, or use of undocumented API endpoints is strictly prohibited without our prior written consent.

6.4 Service Level

We do not commit to any specific uptime Service Level Agreement (SLA) for the backend service unless separately agreed to in writing. The Service is provided on a best-efforts basis.

7. User Content & Data Ownership

7.1 Your Ownership

You retain full ownership of all data, content, and information you input into or generate through MyShoppr ("User Content"), including your product entries, receipt data, shopping lists, and recipes. These Terms do not transfer any ownership of your User Content to us.

7.2 License to Us

By using the Service, you grant Galeano Software a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, reproduce, process, and display your User Content solely as necessary to provide and improve the Service. This license is limited to what is technically required to operate the Service and does not grant us any right to use your User Content for advertising, marketing, or any purpose beyond operating the Service.

7.3 Aggregated Data

We may use anonymized and aggregated data derived from User Content (from which all personally identifiable information has been removed and which cannot reasonably be re-identified) to analyze trends, improve the Service, and develop new features. Such aggregated data is not considered your User Content for purposes of this Section.

7.4 Data Export

You may export your User Content at any time through the in-app export feature or by requesting an export at legal@galeanosoftware.com. We will provide your data in a commonly used, machine-readable format (JSON or CSV) within 30 days of your request.

7.5 Responsibility for User Content

You represent and warrant that your User Content does not violate any applicable law or third-party rights, including privacy rights, intellectual property rights, or contractual obligations. You are solely responsible for the accuracy and legality of your User Content.

8. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service to violate any applicable local, state, national, or international law or regulation.
  • Upload, transmit, or distribute any content that is unlawful, defamatory, harassing, fraudulent, or that infringes any third-party intellectual property rights.
  • Attempt to gain unauthorized access to our systems, servers, databases, or any other component of the Service.
  • Conduct or facilitate any denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.
  • Use the Service to harvest, collect, or store personal data about other users without their knowledge and consent.
  • Introduce malware, viruses, trojans, worms, or other malicious or harmful code into the Service.
  • Circumvent, disable, or interfere with security features of the Service.
  • Use the Service in a way that could impair, overburden, or damage our infrastructure.
  • Engage in any commercial exploitation of the Service, including selling or licensing access to the Service, without our prior written consent.
  • Use the Service for any benchmarking or competitive intelligence purposes without our prior written consent.

We reserve the right to investigate suspected violations of these restrictions and to take appropriate action, including suspending or terminating your access to the Service.

9. Intellectual Property

9.1 Our Intellectual Property

The Service and all of its original content, features, and functionality — including but not limited to the MyShoppr name, logo, application design, software code, algorithms, user interface, text, graphics, and documentation — are and will remain the exclusive property of Galeano Software and its licensors, protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.

9.2 Feedback

If you provide us with feedback, suggestions, ideas, or other input regarding the Service ("Feedback"), you hereby grant us an irrevocable, perpetual, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, create derivative works from, distribute, and display such Feedback for any purpose, without compensation, attribution, or restriction. You waive any moral rights you may have in such Feedback.

9.3 Open Food Facts

Product data sourced from Open Food Facts is made available under the Open Database License (ODbL). We acknowledge this contribution and comply with its terms.

10. Subscriptions & Payments

10.1 Free Tier

MyShoppr is currently available as a free download. Core features are available at no charge.

10.2 Premium Features

We may offer optional paid features, subscriptions, or in-app purchases. When we do:

  • All pricing will be clearly disclosed before purchase.
  • Subscriptions will auto-renew unless cancelled at least 24 hours before the end of the current period.
  • You may manage and cancel subscriptions through the account settings of the distribution platform from which you obtained the app.
  • No refunds are provided for partially used subscription periods, except as required by applicable law or the distribution platform's refund policies.
  • Prices may change with at least 30 days' notice before any renewal.

10.3 Taxes

All prices are inclusive of applicable taxes unless stated otherwise. If applicable taxes change after a price is set, we may adjust the price to reflect the current tax rate.

10.4 Payment Processing

All payments are processed by the distribution platform from which you obtained the app. We do not collect or store your payment card information. The platform's payment terms and refund policies apply to all purchases.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR TITLE.

Without limiting the foregoing, Galeano Software does not warrant that:

  • The Service will meet your specific requirements.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • Results obtained from using the Service will be accurate or reliable.
  • Errors in the Service will be corrected.
  • The Service or its servers are free of viruses or other harmful components.

Nutritional & Dietary Disclaimer: MyShoppr is a personal finance and grocery tracking tool, not a medical or dietary application. Product information, including nutritional data, is sourced from third-party databases and may be inaccurate, incomplete, or out of date. Do not rely on MyShoppr for medical advice, dietary management, allergen avoidance, or any health-related decisions.

Price Tracking Disclaimer: Price data in MyShoppr is entered manually by users and reflects historical purchase prices, not current retail prices. MyShoppr does not guarantee that prices displayed represent current market prices at any store.

Some jurisdictions do not allow exclusion of implied warranties. If you are in such a jurisdiction, some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GALEANO SOFTWARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

The limitations of liability in this section shall apply even if any limited remedy specified herein is found to have failed its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some or all of the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Galeano Software and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your User Content or any content you submit, post, transmit, or make available through the Service.
  • Your violation of any third-party right, including any intellectual property right, publicity right, or privacy right.
  • Your violation of any applicable law or regulation.
  • Any claim that your User Content caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that case, you agree to cooperate with our defense of such claims.

14. Business Transfers

This section addresses what happens to your rights and data if MyShoppr or Galeano Software is sold or otherwise transferred. Please read carefully.

14.1 Right to Transfer

Galeano Software may, at its sole discretion and without your consent but with reasonable notice, assign, transfer, or delegate these Terms and any rights and obligations hereunder to:

  • A successor entity resulting from a merger, acquisition, or consolidation involving Galeano Software.
  • A purchaser of all or substantially all of the assets of Galeano Software or the MyShoppr application.
  • Any entity acquiring control of Galeano Software through a change of control transaction.
  • A corporate reorganization, restructuring, or subsidiary.

14.2 What May Be Transferred

In a Business Transfer, the following may be transferred as assets to the acquirer:

  • The MyShoppr application, codebase, and all associated intellectual property.
  • All user accounts, credentials, and associated User Content stored on our servers.
  • Anonymized analytics and aggregated usage data.
  • Technical infrastructure including databases, backups, and encryption key management systems.
  • These Terms and the Privacy Policy (which bind the acquirer).

14.3 Notice to Users

We will provide you with at least 30 days' advance written notice of any Business Transfer that involves a transfer of your personal data, delivered via in-app notification and/or email (if we have your email address), unless we are prohibited from doing so by applicable law, court order, or legitimate business confidentiality obligations.

14.4 Rights Upon Transfer

Following notification of a Business Transfer, you have the right to:

  • Delete your data before the transfer by submitting a deletion request to legal@galeanosoftware.com. We will fulfill such requests within 14 days.
  • Export your data in a machine-readable format before the transfer.
  • Stop using the Service and uninstall the application. After the transfer, your continued use of the Service constitutes acceptance of the successor entity's terms.

14.5 Acquirer Obligations

As a condition of any Business Transfer involving user data, any acquirer must agree in writing to honor the privacy and data protection commitments set forth in these Terms and our Privacy Policy in effect at the time of the transfer, or provide materially equivalent protections to users.

15. Termination

15.1 Termination by You

You may stop using the Service at any time by uninstalling the MyShoppr application. You may also request account deletion by contacting legal@galeanosoftware.com. We will process account deletion requests within 30 days.

15.2 Termination by Us

We may suspend or terminate your access to the Service, with or without notice, if:

  • You materially breach these Terms and fail to cure such breach within 14 days after written notice (where cure is possible).
  • You engage in conduct that we reasonably determine poses a security risk, is fraudulent, or is harmful to us, other users, or third parties.
  • We are required to do so by applicable law or court order.
  • We discontinue the Service (see Section 5.3).

15.3 Effect of Termination

Upon termination of your account or these Terms:

  • Your license to use the Service is immediately revoked.
  • We will delete your server-stored data within 30 days (subject to legal holds).
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

16. Governing Law & Disputes

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at legal@galeanosoftware.com and attempt to resolve any dispute informally. We will use good faith efforts to resolve the dispute within 30 days of receiving your written notice.

16.3 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service (except for small claims court matters and injunctive relief) shall be resolved by binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules, rather than in court. The arbitration shall be conducted in English and seated in Ontario, Canada. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your province of residence.

16.4 Class Action Waiver

YOU AND GALEANO SOFTWARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND GALEANO SOFTWARE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

16.5 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or privacy rights. This arbitration agreement does not limit your right to file a complaint with any government regulatory agency.

16.6 European Users

If you are a consumer resident in the European Union, you may be entitled to bring claims before the courts of your country of residence or use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Nothing in these Terms limits mandatory statutory consumer rights available to you in your country of residence.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page.
  • Provide notice via in-app notification and/or email (if we have your address) at least 14 days before the updated Terms take effect for existing users.
  • For changes that materially affect your rights or obligations, request your re-acceptance within the application.

Your continued use of the Service after the effective date of the updated Terms constitutes your binding acceptance of the changes. If you do not accept the updated Terms, you must stop using the Service. Prior versions of these Terms are archived and available upon request.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us in connection with the Service, constitute the entire agreement between you and Galeano Software with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver will only be effective if it is in writing and signed by an authorized representative of Galeano Software.

18.4 Assignment

You may not assign or transfer these Terms or any of your rights hereunder without our prior written consent. Any attempted assignment in violation of this section is null and void. We may assign these Terms without restriction (see Section 14).

18.5 Notices

Notices to you may be given via in-app notification, push notification, or email (if we have your address). Notices to us must be sent to legal@galeanosoftware.com or to our registered address.

18.6 Third-Party Beneficiaries

Except as expressly stated herein, these Terms do not create any third-party beneficiary rights. The application distribution platform from which you obtained MyShoppr is a third-party beneficiary of Section 3.3 (Distribution Platform Terms) and may enforce those provisions.

18.7 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power outages, internet disruptions, or government actions.

18.8 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and a translation, the English version controls.
